Your use of the Site is governed by and will be construed in accordance with the laws of the State of New York without regard to any provisions relating to conflicts of law. The federal and state courts located in the City, County and State of New York shall have exclusive jurisdiction over any matters arising under this Agreement, and you agree to submit to the exclusive jurisdiction of those courts and further agree that they are a convenient forum for you. YOU HEREBY WAIVE THE RIGHT TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THE SITE.

IN NO EVENT WILL PERSHING BE LIABLE FOR ANY LOST PROFITS OR OTHER INCIDENTAL OR CONSEQUENTIAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES, LOSSES OR EXPENSES ARISING IN CONNECTION WITH THE USE OF THE SITE OR RELIANCE ON ANY INFORMATION CONTAINED HEREIN, EVEN IF WE KNEW OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES.
